Position Summary:
Synopsys’ Software Integrity Group is searching for a Legal Counsel for the in its Licensing group. The Software Integrity Group is looking for an individual who thrives in a fast-paced work environment, is very detail-oriented, possesses strong problem-solving skills, and has the ability to work independently while managing multiple priorities and deadlines.

This role will support commercial and licensing transactions in the Asia-Pacific region with our customers and partners. The position will be within the Software Integrity Group’s Legal Department, and you will work closely with cross-functional teams, including Sales, Procurement, Finance, Revenue Operations, and others as required to negotiate and manage contracts and ensure compliance with contractual obligations. The position will also be responsible for implementing commercial legal processes in connection with our legal operations team and supporting business development initiatives.

Responsibilities:
  • Drafting, reviewing, and negotiating complex on-premise license agreements, Software as a Service agreements, services agreements and statements of work, channel agreements, partner agreements, data processing agreements, privacy agreements and other commercial agreements.
  • Provide practical, commercial advice to Japan and Asia-Pacific sales executives and internal stakeholders on a variety of sales- and support-related issues, balancing business objectives with legal risks, including identifying, managing, and communicating risks and opportunities in revenue transactions and analyzing and interpreting complex business and legal contractual provisions.
  • Partner with sales, revenue operations, finance, security, customer success, and other functions to ensure efficient and effective legal support for commercial transactions.
Qualifications:
  • Law degree from an accredited law school required.
  • Demonstrated experience in working with customer and commercial agreements in the Japan and Asia-Pacific markets.
  • 7+ years of experience, with at least 5 years of hands-on experience in drafting and negotiating software licenses and other technology agreements, cloud/hosted software agreements and Software as a Service agreements.
  • Excellent drafting skills and ability to adapt legal requirements in balanced, creative, and pragmatic ways, consistent with company objectives, policies, and processes.
  • Excellent negotiator who is able to effectively navigate issues externally and internally, including across departments, with strong interpersonal skills.
  • Well-organized and able to work on tight timelines while handling multiple projects.
  • Strong team, business, project, and people management skills.
  • Experience in-house at a technology company highly preferred.
  • Experience with contract management systems a plus.
  • English fluency required. Proficiency in Japanese and/or Mandarin a plus.
