Job Description – Corporate Counsel, Senior Associate
Responsibilities
- Draft, review, and negotiate a wide range of commercial agreements for customers and vendors located in the PRC.
- Provide day‑to‑day contract and legal support to the marketing, sales, procurement, and other business teams based in the PRC.
- Provide support for, and coordinate with relevant internal and external legal teams on, regional legal matters, including commercial and corporate transactions, compliance with PRC laws and regulations, mergers and acquisitions, and government‑related matters.
- Advise and support internal business teams on legal and compliance issues; assist in identifying and managing legal risks and supporting practical business solutions.
- Participate in the review and update of legal department policies, templates, and processes in response to changes in laws, regulatory requirements, technology, and business operations.
Required Experience and Skills
- Around 5 years of relevant legal experience, gained in a reputable law firm and/or an in‑house legal department.
- LLB or LLM degree from a reputable PRC law school, and/or a JD or JD‑equivalent degree from a reputable law school in a common law jurisdiction.
- PRC Legal Professional Qualification (PRC Bar) is required.
- Solid experience in drafting, reviewing, and negotiating sales, procurement, marketing, and other commercial agreements in English.
- Strong proficiency in both English and Mandarin Chinese, with the ability to conduct legal analysis, draft contracts, and communicate effectively in both languages.
- Good written and verbal communication skills and interpersonal skills, with the ability to work effectively with internal business teams and external counterparties.
- Demonstrated ability to apply legal and commercial judgment to identify issues, assess risks, and propose practical and business‑oriented solutions.
- Ability to handle multiple matters in a fast‑paced environment while exercising sound judgment within established policies and procedures.
Desired Skills and Experience
- Experience practicing law in the PRC and/or supporting cross‑border matters involving other jurisdictions.
- Experience in the EDA and/or semiconductor industry, and experience working at a large PRC company or a multinational company, is preferred.
- Experience with export control and trade compliance, particularly in the context of technology or software‑related businesses.
- Experience in intellectual property law, including technology licensing, IP‑related contractual matters, and coordination with IP teams.
- Experience advising on marketing‑related legal matters, including advertising, promotion, and related compliance issues.
