The position is for a director level attorney with solid experience in licensing agreements to be based in Shanghai, China. This attorney will report to VP, International General Counsel. This position will be responsible for drafting, reviewing and negotiating licensing agreements with customers, handling corporate secretarial matters in China, supervising one junior attorney in Shanghai, China, acting as the first point of legal contact for China related matters, assisting the Asia-Pacific legal team on regional legal matters and handling all other matters in China.

Responsibilities
- Draft, review and negotiate agreements for customers located in China.
- Provide contract support to the Asia-Pacific region and other affiliates.
- Provide regional counsel support for a variety of legal matters, including corporate transactions and subsidiary and affiliate corporate records, compliance with local laws, mergers and acquisitions, and government relations.
- Provide advice to organization on appropriate legal action to be taken.
- Assist in developing and implementing department policies and processes.
- Guide internal business managers in problem solving and ensures legal department policies and practices are reviewed and revised as legal, technology and business conditions change.
- Direct the consistent application of corporate legal standards and employ approved standard templates and model guidance.
- Develop and provide proactive ongoing and future risk management strategies to avoid potentially damaging legal situations.
- Provide training on related subject matters.
- Lead multiple and complex legal projects and develop and implement department policies and processes.
Required Experience and Skills
- 10 to 15 years PQE.
- Licensed to practice in China and/or the US.
- Experience in drafting, reviewing and negotiating licensing agreements.
- Experience in EDA and/or semiconductor industry.
- Excellent bilingual language skills and ability to practice law in both English and Chinese.
- Superb communication and interpersonal skills with demonstrated ability to negotiate and collaborate with both internal clients and external customers.
- Ability to use business and legal knowledge to identify significant legal issues, analyze alternative solutions, make recommendations and implement solutions.
- Ability to handle difficult situations and resolve complicated issues under tremendous pressure.
- Ability to work in a fast-paced environment and to meet deadlines.
- Work on complex problems where analysis of situations or data requires an in‑depth evaluation of various legal and business factors.
- Ability to exercise judgment within broadly defined practices and policies, in selecting methods, techniques, and evaluation criterion for obtaining optimal results
Desired Skills and Experience
- LLM in the US.
- Experience practicing in the US.
- Experience in working for or with FIE’s in China.
- Experience working on matters in other AP countries.
